Welcome to Spot Devs. These Terms and Conditions (“Terms”) govern your use of our website, spotdevs.com, and the services provided by Leon Gabriel Salayog (operating as “Spot Devs”).

1. Services

Spot Devs provides software engineering, digital automation, and CRM consulting services (the “Services”). The specific scope of work, timelines, and deliverables for any project will be outlined in a separate Statement of Work (SOW) or Service Agreement.

2. Payments & Billing

  • Currency: All quotes are provided in USD or AUD unless otherwise specified.
  • Payment Processor: We use Stripe for secure payment processing.
  • Subscriptions: For recurring services (such as GHL hosting or maintenance), payments are billed in advance on a monthly basis.
  • Refunds: Due to the digital and labor-intensive nature of software engineering, refunds are typically not provided once work has commenced, as outlined in your project agreement.

3. Communication & SMS Consent

By providing your phone number and opting in via our website forms, you agree to the following:

  • Consent: You explicitly authorize Spot Devs to send you automated text messages (SMS) for appointment reminders, project updates, and account notifications.
  • Rates: Message and data rates may apply depending on your mobile carrier.
  • Frequency: Message frequency varies based on your project activity and engagement.
  • Opt-Out: You can cancel the SMS service at any time by replying STOP to any message. After you send “STOP,” we will send one final message to confirm you have been unsubscribed.

4. Intellectual Property

Unless otherwise agreed upon in a written contract:

  • Pre-existing Tools: Spot Devs retains ownership of any pre-existing code, proprietary automation templates, or workflows used to deliver the Services.
  • Deliverables: Upon final payment, the client is granted a non-exclusive, perpetual license to use the custom software or automations developed specifically for their project.

5. Limitation of Liability

Spot Devs provides professional-grade automation and software. However, we are not liable for any indirect, incidental, or consequential damages (including loss of data or profits) resulting from:

  • Third-party platform outages (e.g., GoHighLevel, Stripe, OpenAI).
  • Unauthorized access to your account due to weak user credentials.
  • Errors in third-party APIs.

6. Governing Law

These Terms are governed by and construed in accordance with the laws of the Philippines. Any disputes arising from these Terms shall be resolved in the competent courts of Dumaguete City.

7. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Services after changes are posted constitutes your acceptance of the new Terms.
